K-Export AI — Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the K-Export AI platform (the "Platform"), operated by 주식회사 온아루 (Onaru Corp.) ("we," "us," "our," "K-Export AI"), a company registered in the Republic of Korea under corporate registration number [PENDING], with its registered office at 308, 3F, Dankook Plaza, 172 Jukjeon-ro, Suji-gu, Yongin-si, Gyeonggi-do, Republic of Korea.

By creating an account, listing a vehicle, placing an order, or otherwise using the Platform, you ("User," "Exporter," or "Buyer") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

• "Platform" — the K-Export AI website, dashboard, and related services at k-exportai.com and its subdomains.
• "Exporter" — a registered business entity using the Platform to list used vehicles for export sale.
• "Buyer" — an individual or business inquiring about or purchasing a vehicle listed on the Platform.
• "Listing" — a vehicle record published by an Exporter on the Platform.
• "Order" — a transaction record created when a Buyer agrees to purchase a Listing.
• "Commission" — the fee owed by the Exporter to K-Export AI on each completed Order, currently set at 3% of transaction value.

3. Role of the Platform

K-Export AI is a marketplace and matching service only. We are not a party to any sale between an Exporter and a Buyer, and we do not:

• Own, inspect, or take possession of any vehicle listed on the Platform;
• Guarantee the condition, roadworthiness, title status, or accuracy of any vehicle description;
• Act as an escrow agent, payment processor, or custodian of funds (see Section 6);
• Guarantee shipping, customs clearance, or delivery timelines.

The contract of sale for each vehicle exists solely between the Exporter and the Buyer. K-Export AI's role is limited to providing the technology, listing infrastructure, and — where stated — informational compliance data described in Section 8.

4. Eligibility and Account Registration

• Exporters must be a legally registered business in the Republic of Korea and provide accurate business registration information, which K-Export AI may verify.
• Buyers must provide accurate contact and identification information sufficient to complete an Order.
• Users must be at least 18 years of age.
• K-Export AI reserves the right to refuse, suspend, or terminate any account at its discretion, particularly where verification information is false, incomplete, or where these Terms have been violated.

5. Exporter Verification Tiers

To manage risk and build trust in the marketplace, Exporters are assigned to one of three tiers:

K-Export AI may move an Exporter between tiers, including demotion or suspension, based on performance, complaints, or non-payment of Commission (see Section 7). Unregistered or informal (non-business) sellers are not eligible to list on the Platform.

6. Payment Model (Phase 1 — Direct Bank Wire)

No escrow. No held funds. In the current phase of operation:

• Buyers pay Exporters directly, via bank wire, using bank details the Exporter provides.
• K-Export AI does not collect, hold, process, or have custody of any funds exchanged between Buyer and Exporter.
• K-Export AI is not liable for payment disputes, non-delivery, fraud, or non-payment between Buyer and Exporter. Users transact at their own risk and are encouraged to use appropriate due diligence.
• K-Export AI is not a licensed payment institution or electronic financial business under Korean law (전자금융거래법) in this phase, and does not represent itself as one.

This model may change in a future phase, in which case these Terms will be updated and Users notified before any change takes effect (see Section 13).

7. Commission and Fees

• K-Export AI charges Exporters a Commission of 3% of the completed transaction value on every Order marked "Completed."
• Commission is invoiced to the Exporter separately from the Buyer payment (see Section 6) and is due within [X] days of Order completion.
• Non-payment consequences: If Commission remains unpaid past the due date, K-Export AI may, at its discretion and without prior notice beyond automated reminders:
  • Suspend the Exporter's ability to receive new leads or publish new Listings;
  • Demote the Exporter to Provisional tier regardless of prior standing;
  • Suspend the Exporter's account entirely for repeated or large non-payment.
• Continued use of the Platform after receiving a Commission invoice constitutes acknowledgment of the amount owed.
• K-Export AI reserves the right to pursue unpaid Commission through applicable legal channels, including small claims proceedings (소액사건심판) under Korean law.

8. Compliance Information Disclaimer

The Platform may display informational notes regarding import regulations, age limits, or duties for select destination countries, generated from data K-Export AI curates and periodically updates. This information:

• Is provided for general informational purposes only and does not constitute legal, customs, or regulatory advice;
• May not reflect the most current regulations, which are subject to frequent change by the destination country's authorities;
• Is currently available only for a limited set of countries; for any country not shown as supported, no compliance assessment has been performed, and Buyers must independently verify import eligibility with their own customs authority before purchase.

K-Export AI disclaims all liability for reliance on this information. Buyers and Exporters remain solely responsible for compliance with all applicable import/export laws.

9. Buyer and Exporter Conduct

Users agree not to:

• Post false, misleading, or materially inaccurate vehicle information;
• Attempt to circumvent the Platform to avoid Commission obligations after being introduced to a counterparty through the Platform;
• Use the Platform for any unlawful purpose, including money laundering or sanctions evasion;
• Harass, defraud, or misrepresent identity to any other User;
• Scrape, reverse-engineer, or attempt unauthorized access to Platform systems or data.

Violation may result in immediate suspension or termination, at K-Export AI's sole discretion.

10. Intellectual Property

All Platform software, design, branding, and content (excluding Exporter-submitted vehicle data and images) are the property of Onaru Corp. Exporters retain ownership of their submitted vehicle images and descriptions but grant K-Export AI a non-exclusive, royalty-free license to display, reproduce, and distribute this content for the purpose of operating the Platform.

11. Limitation of Liability

To the maximum extent permitted by Korean law:

• K-Export AI's total liability to any User for any claim arising from use of the Platform shall not exceed the total Commission paid by that User in the 12 months preceding the claim.
• K-Export AI is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities.
• K-Export AI is not liable for the acts, omissions, misrepresentations, or non-performance of any Exporter or Buyer.

Nothing in this section limits liability that cannot be limited under mandatory Korean consumer protection law.

12. Termination

K-Export AI may suspend or terminate any account at any time, with or without notice, for violation of these Terms, non-payment of Commission, suspected fraud, or at its sole business discretion. Users may close their own account at any time by contacting [SUPPORT EMAIL].

13. Changes to These Terms

K-Export AI may update these Terms from time to time. Material changes will be notified to Users via email or Platform notice at least [X] days before taking effect. Continued use after the effective date constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles. Any dispute arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the [Suwon District Court / relevant court — confirm with counsel], Republic of Korea.
